These Terms and Conditions ("Terms") govern your access to and use of the website, checkout pages, membership portal, community platform, live sessions, and services offered under The Love Club, a coaching membership operated by The Softening LLC, a California limited liability company ("Company," "The Softening," "we," "us," or "our").

By accessing our website, purchasing a membership, or participating in any part of The Love Club, you agree to be bound by these Terms. If you do not agree, do not purchase or use our services.

1. ELIGIBILITY AND CAPACITY

You must be at least eighteen (18) years old to purchase or access The Love Club.

By enrolling, you represent and warrant that:

• You are 18 or older and legally able to enter into a binding contract.
• You are enrolling for your own personal, non-commercial use.
• The payment method you provide is one you are authorized to use.
• You are not currently in acute mental health crisis requiring immediate clinical intervention (see Section 2).

We may verify eligibility and may suspend or terminate access if these representations are inaccurate.

2. NATURE OF SERVICES: COACHING AND EDUCATION, NOT THERAPY OR MEDICAL CARE

The Love Club provides coaching, education, peer community, and personal development support only.

We do not provide: therapy, psychotherapy, counseling, mental health diagnosis or treatment, medical care, psychological services, crisis intervention, medication guidance, or any licensed clinical service.

Participation does not create a therapist-client, counselor-client, physician-patient, or any other licensed professional relationship between you and The Softening LLC, its members, its facilitators, or any guest practitioner.

Certain individuals associated with The Softening hold professional licenses in other contexts. Those licenses are not being exercised in The Love Club. No licensed clinical services are provided through this membership, and no clinical record is created. Any separate clinical or professional relationship you may have with an individual outside The Love Club is governed by wholly separate agreements and is not affected by these Terms.

The Love Club is not a substitute for therapy, psychiatric care, or medical treatment.

If you are experiencing acute emotional distress, suicidal ideation, self-harm urges, an eating disorder, a substance use crisis, or any other mental health emergency, stop and contact a licensed mental health professional, call or text 988 (Suicide and Crisis Lifeline), or dial 911.

By participating, you acknowledge and agree that:

• You are solely responsible for your own mental, emotional, and physical well-being.
• You understand the distinction between coaching and therapy.
• You will seek appropriate licensed care independently when needed.
• You will not rely on The Love Club, its facilitators, its guest practitioners, or its members for clinical guidance.

3. MEMBERSHIP TERM, BILLING, AND CANCELLATION

Please read this Section carefully. It describes a fixed-term financial commitment.

3.1 Six-Month Initial Term

The Love Club is sold as a six (6) month membership term (the "Initial Term"). By enrolling, you are purchasing the full six-month program, not a month-to-month subscription.

The price disclosed at checkout is the total consideration for the Initial Term. The monthly billing schedule described below is a payment convenience, not a shorter commitment.

3.2 Installment Billing Authorization

Although you are purchasing a six-month Term, your membership fee is billed in six (6) monthly installments, one per month, unless you select a pay-in-full option where offered.

By purchasing, you expressly authorize The Softening LLC and its payment processor to automatically charge your designated payment method for each installment on the recurring monthly billing date, for the duration of the Initial Term, without further authorization from you for each individual charge.

3.3 Three-Day Right to Cancel

You may cancel this agreement without penalty or obligation within three (3) business days of your enrollment date.

To exercise this right, email [email protected] with your name and the email address used at enrollment before midnight of the third business day following enrollment. Upon timely cancellation under this Section, your membership will terminate and any amount paid will be refunded in full within ten (10) business days.

After the three-business-day window closes, Section 3.4 applies.

3.4 Cancellation of Access vs. Payment Obligation

These are two separate things, and it is important that you understand the difference.

(a) Cancelling access. You may cancel your access to The Love Club at any time, for any reason, through your account billing portal or by emailing [email protected]. Cancellation of access is always available to you and requires no explanation, no phone call, and no retention conversation.

(b) Your payment obligation survives. Cancelling access does not terminate your financial obligation for the Initial Term. Because you purchased a six-month program billed in installments, you remain contractually responsible for the full Term price, including any installments not yet paid at the time you cancel.

(c) No refunds for unused time. Amounts already paid are non-refundable, except as provided in Section 3.3 (three-day right to cancel), Section 3.5 (hardship exceptions), or where refund is required by applicable law.

(d) Settlement of remaining balance. If you cancel access before the end of the Initial Term, we may, at our sole discretion:

• continue to bill your payment method on the original monthly schedule until the Term balance is satisfied; or
• issue an invoice for the accelerated remaining balance, payable within thirty (30) days.

We will notify you in writing which method applies.

3.5 Hardship, Death, and Disability

Notwithstanding Section 3.4, the remaining balance for the Initial Term will be waived, and access terminated, in the event of:

• the member's death;
• a documented disability or medical condition that materially prevents participation for the remainder of the Term, supported by a written statement from a licensed physician; or
• other documented extraordinary hardship, granted at our sole and reasonable discretion.

3.6 Failed Payments, Default, and Collections

If a scheduled installment fails:

• We will notify you at the email address on file and may reattempt the charge.
• You agree to promptly provide a valid alternate payment method.
• We may suspend your access to the community and live sessions after ten (10) days of non-payment, while your payment obligation continues to accrue.

If an installment remains unpaid thirty (30) days past its due date, you will be in default, and the entire remaining balance of the Initial Term becomes immediately due and payable.

You authorize us to use reasonable and lawful collection efforts to recover unpaid amounts, including referral to a third-party collections agency or legal action where permitted by law. Where permitted by applicable law, you agree to be responsible for reasonable costs of collection, including attorneys' fees actually incurred.

3.7 Chargebacks

Initiating a chargeback or payment dispute for a validly incurred charge, rather than contacting us first at [email protected], is a breach of these Terms. We reserve the right to suspend access, contest the dispute with documentation of your enrollment and acceptance of these Terms, and pursue the disputed amount as a debt.

3.8 Continuation After the Initial Term

At the conclusion of the Initial Term, your membership will continue only if you affirmatively elect to continue, or, where a renewal option is presented and accepted at checkout, on the terms then disclosed to you.

Any continuation after the Initial Term is month-to-month and may be cancelled by you at any time, effective at the end of the then-current billing month. No further commitment period applies unless you separately purchase a new fixed Term and expressly agree to it.

3.9 Price Changes and Renewal Notice

If you enrolled at a promotional, founding-member, or otherwise discounted rate, and your membership would continue or renew at a different price, we will provide written notice of the new price and obtain your affirmative consent before charging it. We will not silently increase your rate.

Where required by law, we will provide advance written notice before any renewal charge, including instructions on how to cancel.

3.10 Cancellation Mechanism

Cancellation is available through the same medium in which you enrolled and in no more steps than enrollment required. You are not required to speak with a person, complete a retention call, or answer questions in order to cancel. You may also cancel by emailing [email protected], and we will process the request and confirm in writing.

4. BREATHWORK, SOMATIC PRACTICES, GUEST PRACTITIONERS, AND ASSUMPTION OF RISK

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS A RELEASE OF LIABILITY AND AN ASSUMPTION OF RISK THAT AFFECT YOUR LEGAL RIGHTS.

4.1 What These Practices Are

The Love Club may include active or conscious connected breathwork, somatic movement, nervous system regulation exercises, guided embodiment practices, and similar experiential offerings (collectively, "Somatic Practices"), facilitated by The Softening or by independent guest practitioners.

Somatic Practices are offered as educational, experiential, and self-exploratory wellness practices. They are not medical treatment, physical therapy, respiratory therapy, psychotherapy, trauma treatment, or any licensed clinical intervention. No diagnosis, treatment plan, or clinical outcome is offered or implied.

4.2 Known Risks

You acknowledge that Somatic Practices, and particularly active or intensive breathwork, carry inherent risks. These may include, without limitation:

• Lightheadedness, dizziness, fainting, or loss of consciousness
• Tingling, numbness, muscle tension, cramping, or tetany (temporary muscle contraction, commonly in the hands and face)
• Changes in heart rate and blood pressure
• Nausea or vomiting
• Intense emotional release, crying, shaking, or abreaction
• Resurfacing of distressing memories, grief, anxiety, panic, or dissociation
• Temporary disorientation or altered states of consciousness
• Injury from falling, or from movement during a session
• Aggravation of pre-existing physical or psychological conditions

Some risks may be unforeseeable. You accept all risks of participation, known and unknown.

4.3 Contraindications and Medical Clearance

Do not participate in active breathwork without first obtaining clearance from your physician if any of the following apply to you:

• Pregnancy
• Cardiovascular disease, hypertension, or history of heart attack or stroke
• Aneurysm, personal or family history
• Epilepsy or seizure disorder
• Glaucoma or retinal detachment
• Asthma or other significant respiratory condition
• Osteoporosis or recent physical injury or surgery
• Diagnosis of bipolar disorder, schizophrenia, psychosis, or other condition involving altered perception
• Current dissociative symptoms or a dissociative disorder
• Active suicidal ideation or recent psychiatric hospitalization
• Any other condition that could be aggravated by hyperventilation, physical exertion, or intense emotional experience

You represent that you have disclosed any relevant condition and have obtained medical clearance where appropriate. We do not screen for, and are not responsible for identifying, your medical or psychological conditions.

4.4 Your Responsibility During Sessions

You agree that:

• Participation is entirely voluntary, and you may stop, pause, modify, or leave at any moment for any reason.
• You are solely responsible for monitoring your own experience and stopping when appropriate.
• You will participate in a safe physical environment, seated or lying down as instructed, away from hazards.
• You will not participate while operating a vehicle or machinery, and will not drive for at least thirty (30) minutes following an active breathwork session.
• You will not participate under the influence of alcohol or non-prescribed substances.
• You will follow all safety instructions given by the facilitator.

4.5 Guest Practitioners Are Independent

Guest practitioners, somatic teachers, breathwork facilitators, and other third-party presenters who appear in The Love Club are independent contractors or invited guests. They are not employees, partners, or agents of The Softening LLC.

You acknowledge and agree that:

• The Softening does not supervise, direct, or control the professional methods, techniques, or content of any guest practitioner.
• The Softening makes no representation or warranty regarding any guest practitioner's licensure, certification, training, insurance, competence, or the safety or efficacy of their methods.
• The Softening is not responsible or liable for the acts, omissions, advice, negligence, or conduct of any guest practitioner, and you release The Softening from any claim arising from a guest practitioner's conduct.
• Any relationship, engagement, purchase, or service you pursue with a guest practitioner outside The Love Club is strictly between you and that practitioner, and The Softening has no involvement in and no liability for it.

4.6 Assumption of Risk and Release

To the fullest extent permitted by California law, and in consideration of being permitted to participate:

You voluntarily assume all risk of injury, harm, loss, or damage of any kind arising from your participation in Somatic Practices.

You release, waive, discharge, and covenant not to sue The Softening LLC, its members, officers, employees, facilitators, contractors, and guest practitioners (collectively, the "Released Parties") from any and all claims, demands, causes of action, damages, or liabilities of any kind, whether physical, emotional, psychological, or financial, arising out of or related to your participation in Somatic Practices.

You agree to indemnify and hold harmless the Released Parties from any claim brought by you or on your behalf arising from your participation.

Limitation on this release (California Civil Code § 1668): This release does not, and is not intended to, waive liability for gross negligence, recklessness, willful or intentional misconduct, fraud, or any violation of law. Nothing in this Section limits any right that cannot be waived under California law.

You acknowledge that you have read this Section, that you understand it is a release of legal rights, and that you are signing it freely and voluntarily.

4.7 Separate Waiver

We may require you to execute a separate standalone waiver and medical acknowledgment before participating in any Somatic Practice session. That separate waiver supplements, and does not replace, this Section.

5. COMMUNITY CONDUCT AND CONFIDENTIALITY

By participating in The Love Club (including live calls, forums, chat spaces, small groups, and any associated platform), you agree to:

• Engage respectfully and in good faith
• Maintain the confidentiality of other members' shared experiences
• Not harass, shame, threaten, dox, solicit, or exploit other members
• Not provide medical, legal, psychological, or therapeutic advice to other members
• Not use the community to promote, sell, or recruit for any product, service, program, or business
• Not disclose, screenshot, quote, republish, or share outside the community any content shared by another member

Confidentiality is a member obligation, but it cannot be guaranteed. The Love Club is a group setting, not a confidential clinical setting. No legal privilege attaches to anything you share. Other members may violate these rules despite our best efforts. Share only what you are comfortable having others hear, and understand that we cannot control what other members do with it.

We may remove, suspend, or terminate access without refund for conduct that violates this Section. Termination for cause does not relieve you of the payment obligation described in Section 3.

6. RECORDING, COMMUNITY CONTENT, AND MARKETING USE

Please read this Section carefully. It describes how content you post in the community may be used.

6.1 Recording of Live Sessions

Live calls, workshops, and Somatic Practice sessions may be recorded (audio, video, or both) for member replay, archival, and internal quality purposes.

By joining a live session, you consent to being recorded. You will be notified at the start of any recorded session. If you do not wish to appear on a recording, you may turn off your camera, mute yourself, use a display name that does not identify you, or leave the session. Recordings are made available to members only and are not published publicly without separate written permission as described in Section 6.3.

6.2 De-Identified Community Content in Marketing

You acknowledge and agree that The Softening may use de-identified excerpts and screenshots of community discussions, forum posts, chat threads, comments, and questions for marketing, promotional, educational, and illustrative purposes, including on our website, social media, email newsletters, sales pages, presentations, and press.

"De-identified" means that, before any such use, we will remove or obscure:

• Names, usernames, handles, and display names
• Profile photographs and avatars
• Email addresses, phone numbers, links, and account identifiers
• Employers, schools, city or neighborhood names, and other direct geographic identifiers
• Names of partners, family members, and other third parties
• Any other detail we reasonably believe would identify the author or a third party

We will not attribute de-identified content to you by name, image, or handle without your separate written permission.

We may lightly edit or paraphrase content for length, clarity, or further de-identification. Doing so does not change your rights under this Section.

You grant The Softening a non-exclusive, worldwide, royalty-free, perpetual, sublicensable license to use, reproduce, adapt, and display your community contributions in de-identified form for the purposes described above. This license survives termination of your membership.

6.3 Attributed Use Requires Separate Consent

We will not use your name, likeness, photograph, voice, video, handle, or an attributed quote in marketing without your separate, specific, written consent for that use. General acceptance of these Terms is not consent to attributed use.

6.4 Your Right to Object

You may opt out of de-identified marketing use at any time, prospectively and without affecting your membership, by emailing [email protected]. Upon receiving your request we will stop using your content in new materials and will make commercially reasonable efforts to remove it from materials we actively control. We may be unable to recall materials already printed, distributed, published by third parties, cached, or shared by others.

You may also flag any individual post as not-for-use at the time you write it by including the tag [private] at the start of the post. We will honor that tag.

6.5 Limits of De-Identification

You acknowledge that de-identification reduces but does not eliminate the possibility of recognition. Writing style, distinctive circumstances, or context known to people in your life could allow someone to recognize content as yours. If you are sharing something you would not want recognized under any circumstances, use the [private] tag or share it only in a live session rather than in writing.

6.6 Aggregate and Anonymized Insights

We may compile aggregated, anonymized, statistical, or thematic insights from community activity (for example: "most members report struggling with boundary-setting") and use them without restriction. Aggregate insights contain no individual content and are not subject to the opt-out in Section 6.4.

7. INTELLECTUAL PROPERTY

All content provided through The Love Club, including videos, recordings, written materials, worksheets, prompts, curriculum, frameworks, branding, and trade dress, is owned by The Softening LLC or licensed to us.

You are granted a limited, non-exclusive, non-transferable, revocable license to access this content for your personal, non-commercial use only during your membership.

You may not:

• Share, reproduce, sell, resell, distribute, or publicly post our content
• Record, screen-capture, or transcribe live sessions without written permission
• Use our materials to create, teach, or market a competing program
• Use our name, marks, or content to imply endorsement or affiliation
• Use our content to train, fine-tune, or ground any artificial intelligence or machine learning system

This license terminates immediately upon termination of your membership.

8. YOUR CONTENT

Content you voluntarily submit (posts, comments, questions, testimonials, survey responses, feedback) remains yours. You grant us the license described in Section 6 with respect to that content.

You represent that you have the right to share what you post, that it does not infringe anyone's rights, and that you have not disclosed another person's confidential or private information without their permission.

We may remove any content at our discretion.

9. DISCLAIMERS; NO GUARANTEE OF RESULTS

The Love Club is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

You understand and agree that:

• Results are not guaranteed. We make no promise regarding your relationships, dating outcomes, emotional state, or personal growth.
• Individual outcomes vary widely and depend on factors outside our control.
• Any testimonial or member experience shared in our marketing reflects that individual's experience and is not a representation of typical results.
• Any action you take based on our content is taken at your own discretion and risk.

10. LIMITATION OF LIABILITY

To the maximum extent permitted under California law:

The total aggregate liability of The Softening LLC arising out of or relating to these Terms or your membership shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or emotional distress, even if advised of the possibility.

We are not liable for:

• The acts, omissions, or conduct of other members
• The acts, omissions, advice, or conduct of guest practitioners (see Section 4.5)
• Third-party platforms, payment processors, or service providers
• Technology interruptions, outages, or data loss
• Relationship, dating, or personal decisions you make

Nothing in this Section limits liability for gross negligence, willful misconduct, fraud, or any liability that cannot be limited under California Civil Code § 1668 or other applicable law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless The Softening LLC and its members, officers, contractors, and facilitators from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of another member's confidentiality or rights, your conduct in the community, or your participation in Somatic Practices.

12. PAYMENT PROCESSING

Payments are processed by third-party providers, currently Stripe. We do not store full payment card details. We are not responsible for processor errors, outages, or breaches. Your use of the payment processor is subject to its own terms and privacy policy.

13. TERMINATION BY US

We may suspend or terminate your access, with or without notice, if you violate these Terms, engage in conduct harmful to the community, or fail to pay amounts owed.

Termination for cause does not entitle you to a refund and does not relieve you of the payment obligation in Section 3.

14. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW DISPUTES BETWEEN US ARE RESOLVED AND LIMITS YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

14.1 Informal Resolution First

Before initiating arbitration, you agree to contact us at [email protected] with a written description of the dispute and the relief sought. We agree to attempt in good faith to resolve the matter within thirty (30) days. This step is a precondition to arbitration for both parties.

14.2 Binding Arbitration

If not resolved informally, any dispute arising out of or relating to these Terms or The Love Club shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, seated in San Diego County, California, or conducted remotely at your election.

Where AAA consumer rules apply, we will pay arbitration filing and administrative fees in excess of what you would pay to file in court.

14.3 Class Action Waiver

You and The Softening each waive the right to bring or participate in any class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any class proceeding.

14.4 Exceptions

This Section does not apply to:

• Claims that may be brought in small claims court, which either party may bring individually.
• Claims for public injunctive relief, which, consistent with McGill v. Citibank, may be brought in a court of competent jurisdiction. If a court determines that a claim for public injunctive relief may not be arbitrated, that claim alone shall be severed and stayed pending arbitration of the remaining claims, and the rest of this Section remains in force.
• Claims for infringement or misuse of intellectual property, for which either party may seek injunctive relief in court.

14.5 Right to Opt Out of Arbitration

You may opt out of this arbitration agreement by emailing [email protected] within thirty (30) days of first accepting these Terms, stating your name, the email used at enrollment, and that you are opting out of arbitration. Opting out has no effect on your membership and no other part of these Terms.

14.6 Survival

This Section survives termination of your membership.

15. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to Section 14, the exclusive venue for any action is the state and federal courts located in San Diego County, California.

16. CHANGES TO THESE TERMS

We may update these Terms from time to time. Non-material changes take effect upon posting with an updated "Last Updated" date.

Material changes (including changes to price, term length, cancellation rights, or this arbitration provision) will be communicated to you by email at least thirty (30) days before they take effect. Material changes apply only prospectively and, where required by law, only upon your affirmative consent. Material changes will not be applied retroactively to a Term you have already purchased.

17. GENERAL

Severability. If any provision is held invalid or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force.

No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer your membership. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. We are not liable for delay or failure to perform due to causes beyond our reasonable control.

Notices. Notices to you will be sent to the email address on your account. Notices to us go to [email protected].

Entire Agreement. These Terms, together with our Privacy Policy and any separate waiver you execute, constitute the entire agreement between you and The Softening LLC regarding The Love Club and supersede all prior agreements and understandings.
