These Terms and Conditions (“Terms”) govern your access to and use of the website, checkout pages, membership portal, and services offered under The Love Club, a monthly coaching membership operated by The Softening LLC, a California limited liability company (“Company,” “we,” “us,” or “our”).

By accessing our website, purchasing a membership, or using any of our services, you agree to be bound by these Terms. If you do not agree, do not use or purchase our services.

1. ELIGIBILITY

You must be at least 18 years old to access or purchase The Love Club. By using our services, you represent that you meet this requirement.

2. NATURE OF SERVICES: COACHING, NOT THERAPY

The Love Club provides coaching, education, and personal development support only.

• We do not provide therapy, counseling, mental health treatment, medical care, or psychological services.
• Participation in The Love Club does not create a therapist-client, counselor-client, or doctor-patient relationship.
• The Love Club is not a substitute for therapy, mental health care, or medical advice.

If you are experiencing acute mental health distress, trauma, or emotional crisis, please seek support from a licensed mental health professional or emergency services.

By participating, you acknowledge and agree that:

• You are responsible for your own mental, emotional, and physical well-being.
• You understand the distinction between coaching and therapy.

3. MEMBERSHIP & SUBSCRIPTION TERMS

6-Month Term

The Love Club is sold as a six (6) month membership term (the “Term”). By enrolling, you agree to remain enrolled for the full Term.

Monthly Installment Billing

Although the Term is six (6) months, your membership is billed in six (6) monthly installments (one installment per month) unless you choose and we offer an alternative payment option at checkout.

By purchasing, you authorize The Softening LLC to automatically charge your selected payment method each month during the Term.

Early Cancellation and Payment Obligation

You may request cancellation of access at any time, but early cancellation does not end your payment obligation.

Because you are purchasing a six (6) month Term (even if paid monthly), you remain responsible for all installment payments due for the full Term, including any remaining unpaid installments at the time of cancellation. No refunds are provided for unused time.

Failed Payments; Collections

If a scheduled payment fails, you agree to promptly provide a valid payment method. We may suspend access for non-payment and continue attempts to collect amounts owed. You authorize us to use reasonable collection efforts for unpaid balances, including using a third-party collections service where permitted by law.

Renewals (If Offered)

If we offer renewal after the initial Term, renewal terms (including whether it renews monthly or for another fixed term) will be presented clearly at checkout and/or via email notice prior to renewal.

4. COMMUNITY CONDUCT & PARTICIPATION

By participating in The Love Club (including live calls, forums, chat spaces, or social platforms), you agree to:

• Engage respectfully and in good faith
• Maintain confidentiality of other members’ shared experiences
• Not harass, shame, threaten, or exploit others
• Not provide medical, legal, or therapeutic advice to other members

We reserve the right to remove or suspend access without refund for behavior that violates these standards.

5. INTELLECTUAL PROPERTY

All content provided through The Love Club — including videos, written materials, prompts, recordings, branding, and curriculum — is owned by The Softening LLC or properly licensed to us.

You are granted a limited, non-exclusive, non-transferable, revocable license for personal use only.

You may not:

• Share, reproduce, sell, or redistribute content
• Record live sessions without permission
• Use our materials for commercial purposes

6. USER CONTENT & CONTRIBUTIONS

If you voluntarily submit content (comments, testimonials, written responses, or feedback), you grant us a royalty-free, worldwide, perpetual license to use that content for business purposes, unless you explicitly request otherwise in writing.

We will never intentionally disclose private identifying information without consent.

7. DISCLAIMERS & ASSUMPTION OF RISK

You understand and agree that:

• Results are not guaranteed
• Individual outcomes vary
• Any actions you take based on our content are taken at your own discretion and risk

To the fullest extent permitted by law, we disclaim all liability for:

• Emotional distress
• Relationship outcomes
• Personal decisions
• Indirect or consequential damages

8. LIMITATION OF LIABILITY

To the maximum extent permitted under California law:

The Softening LLC’s total liability shall not exceed the amount you paid in the twelve (12) months preceding the claim.

We are not liable for:

• Third-party platforms or payment processors
• Technology interruptions
• Community member behavior

9. PAYMENT PROCESSING

Payments are processed through third-party providers (e.g., Stripe). We do not store full payment details and are not responsible for processor errors or breaches.

10. TERMINATION

We reserve the right to terminate or suspend access at our discretion, with or without notice, if you violate these Terms. No refunds will be issued for terminated accounts.

11. DISPUTE RESOLUTION & ARBITRATION (CALIFORNIA)

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation.

If unresolved, disputes shall be settled by binding arbitration in the State of California, in accordance with the rules of the American Arbitration Association. You waive the right to participate in class actions.

12. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

13. MODIFICATIONS

We may update these Terms at any time. Continued use of the membership after changes constitutes acceptance of the revised Terms.

14. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Softening LLC.
